Everything contractors need to know<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">IR35 is another name for the off-payroll working rules. The term \u2018IR35\u2019 refers to the press release that originally announced the legislation in 1999.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Self-employed IR35 rules are designed to work out whether a contractor is someone who\u2019s genuinely self-employed rather than a \u2018disguised\u2019 employee, for the purposes of paying tax.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That\u2019s because contractors who <a href=\"\/knowledge\/business-structure\/setting-up-a-limited-company\/\" data-type=\"knowledge\" data-id=\"1270\">set up and work through a limited company<\/a> enjoy some tax efficiency. While they don\u2019t usually get employee benefits (like holiday and sick pay), they have flexibility and control over their work.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Some contractors try to take advantage of this tax efficiency by appearing self-employed on the surface, when they\u2019d actually be an employee were they not providing their services through their limited company. The off-payroll working rules are designed to tackle this, but they aren\u2019t without their problems.<\/p>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<h2 class=\"wp-block-heading\" id=\"ir35rulestackletaxavoidancethroughoffpayrollworking\">What is a disguised employee?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">When a contractor is a \u2018disguised\u2019 employee, they\u2019re taking advantage of the tax efficiency of working through a limited company, but otherwise they should be classed as an employee.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Consider the example of an employee who quits their job, leaves on the Friday and starts back at the company in the same position on the Monday, but as a contractor working through their limited company. Has the arrangement changed in any material way?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u2018Disguised\u2019 arrangements benefit employers too, because they don\u2019t have to pay employers\u2019 National Insurance contributions (NICs) or give any employee benefits to contractors.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-inside-and-outside-ir35-what-s-the-difference\">Inside and outside IR35 \u2013 what&#8217;s the difference?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">So self-employed IR35 rules tackle those arrangements by testing the contract itself, working out whether it\u2019s \u2018inside IR35\u2019 or \u2018outside IR35\u2019:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"wp-block-list-item\">if your contract is <a href=\"\/knowledge\/business-tax\/what-happens-if-im-inside-ir35\/\" data-type=\"knowledge\" data-id=\"1563\">inside IR35<\/a>, it points towards employment. HMRC sees you as an employee and you face an <a href=\"\/knowledge\/business-tax\/income-tax-rates\/\" data-type=\"knowledge\" data-id=\"1464\">income tax<\/a> and National Insurance burden, just as employees do<\/li>\n\n\n\n<li class=\"wp-block-list-item\">if your contract is <a href=\"\/knowledge\/business-tax\/what-happens-if-im-inside-ir35\/\" data-type=\"knowledge\" data-id=\"1563\">outside IR35<\/a>, it points towards self-employment, and you can enjoy the tax efficiency that self-employment brings (as well as all the associated risks)<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>IR35\u2019s nuances mean that contractors can\u2019t be expected to know the law inside out. The intermediary in many cases is the contractor\u2019s limited company (often called a <a href=\"\/knowledge\/self-assessment\/what-is-a-personal-service-company\/\" data-type=\"knowledge\" data-id=\"945\">personal service company<\/a>).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If you work on multiple contracts, it\u2019s possible that some fall within off-payroll working rules and some don\u2019t. This is because these rules are based on each contract. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"intermediarymeaningwhatisanintermediary\">What is an intermediary?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">IR35 is also known as the \u2018intermediaries legislation\u2019 because it applies to workers who provide their services through an intermediary, rather than working as an employee.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">As mentioned, the intermediary will often be the contractor\u2019s own limited company, or personal service company.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A personal service company is a limited company where the sole director, the contractor, owns most or all of the shares. The contractor then delivers services to clients.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But <a href=\"https:\/\/www.gov.uk\/guidance\/understanding-off-payroll-working-ir35\" rel=\"noopener noreferrer\" target=\"_blank\">gov.uk<\/a> says that there can be other intermediaries:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"wp-block-list-item\">a partnership<\/li>\n\n\n\n<li class=\"wp-block-list-item\">another personal service company<\/li>\n\n\n\n<li class=\"wp-block-list-item\">an individual<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">A contractor can provide their services directly to clients through their intermediary, or they might work through an agency or <a href=\"\/knowledge\/business-structure\/what-is-an-umbrella-company\/\" data-type=\"knowledge\" data-id=\"951\">umbrella company<\/a>.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-ir35-who-is-responsible\">IR35: who is responsible?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">If you work for a medium-sized or larger business, it\u2019s their responsibility to determine your employment status for IR35.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This will be the case if your client is a public authority or a private company with:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"wp-block-list-item\">an annual turnover of more than \u00a310.2 million&nbsp;<\/li>\n\n\n\n<li class=\"wp-block-list-item\">a balance sheet total of more than \u00a35.1 million&nbsp;<\/li>\n\n\n\n<li class=\"wp-block-list-item\">more than 50 employees on average in an accounting year<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">If a contracted worker is thought to be inside IR35, the hiring company will then need to deduct income tax and National Insurance contributions before paying the contractor.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This change in responsibility came into force from April 2024, but could apply to any IR35 errors dating back to April 2017.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However if you\u2019re providing services to a small, private business (or they\u2019re based abroad with no UK connection), it will still be your responsibility to work out your IR35 status and make sure you\u2019re paying tax and making the right National Insurance contributions.<\/p>\n<\/div>\n<\/div>\n\n\n\n<div class=\"wp-block-group alignfull is-layout-flow wp-block-group-is-layout-flow\" id=\"#IR35-2024-changes\">\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<h2 class=\"wp-block-heading\" id=\"h-ir35-rules-how-to-comply\">IR35 rules: how to comply?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">In general, IR35 won\u2019t apply if the contract is for services rather than employment. To untangle that, you should see whether the contract specifically mentions these principles:<\/p>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<ul class=\"wp-block-list is-style-checks\">\n<li class=\"wp-block-list-item\"><strong>supervision, direction, control<\/strong> \u2013 this relates to how much say your client has over how you complete your work. For example, if you have to work at certain times, this implies employment<\/li>\n\n\n\n<li class=\"wp-block-list-item\"><strong>substitution<\/strong> \u2013 could you bring someone else in to complete the contract, or do you need to do the work yourself? If you can\u2019t send someone else, you\u2019re likely to be inside IR35<\/li>\n\n\n\n<li class=\"wp-block-list-item\"><strong>mutuality of obligation (MOO)<\/strong> \u2013 is there an obligation on the employer\u2019s end to offer work, and do you have to accept it? This is called <a href=\"\/knowledge\/business-tax\/what-happens-if-im-inside-ir35\/\" data-type=\"knowledge\" data-id=\"1563\">mutuality of obligation<\/a>, and if an element of it exists, the contract may fall inside IR35<\/li>\n<\/ul>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<p class=\"wp-block-paragraph\">The contract has to reflect your actual working practices \u2013 essentially, the clauses need to be genuine.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"supervisiondirectioncontrol\">Supervision, direction, control<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">For a contract to fall outside IR35, contractors should have freedom over how they complete their work.<\/p>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<ul class=\"wp-block-list is-style-checks\">\n<li class=\"wp-block-list-item\">a contract that specifies things like the time you can start and finish work, or the days you\u2019re required to work, points towards employment<\/li>\n\n\n\n<li class=\"wp-block-list-item\">a contract might also point towards employment if a client oversees your work excessively and gives guidance on how to complete it<\/li>\n\n\n\n<li class=\"wp-block-list-item\">plus, if you\u2019re not only providing your services for the agreed job but also working on different tasks as your client sees fit, the contract is likely to be inside IR35<\/li>\n<\/ul>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<h3 class=\"wp-block-heading\" id=\"substitution\">Substitution<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">For a contract to fall outside IR35, you should be able to send a substitute to complete the work instead.<\/p>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<ul class=\"wp-block-list is-style-checks\">\n<li class=\"wp-block-list-item\">does your client only want you, or services more broadly? An outside IR35 contract might state that someone else can provide their services to complete the work<\/li>\n\n\n\n<li class=\"wp-block-list-item\">the clause has to be genuine \u2013 you should know which skilled contractors you would ask<\/li>\n\n\n\n<li class=\"wp-block-list-item\">plus the contract can\u2019t be so restrictive that you essentially need to do the work yourself<\/li>\n<\/ul>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<h3 class=\"wp-block-heading\" id=\"mutualityofobligationmoo\">Mutuality of obligation (MOO)<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">This is an important clause in a contract, as it\u2019s a key test when working out self-employed status. If the client is obliged to offer work (and pay you) and you\u2019re obliged to take it, this demonstrates a contract of employment.<\/p>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<ul class=\"wp-block-list is-style-checks\">\n<li class=\"wp-block-list-item\">in practice, this means a self-employed contract involves working on a project-by-project basis<\/li>\n\n\n\n<li class=\"wp-block-list-item\">once you\u2019ve completed a project, you\u2019re under no obligation to work on further tasks (and the client is under no obligation to offer them)<\/li>\n\n\n\n<li class=\"wp-block-list-item\">you should also consider whether you can work for other clients simultaneously. If that\u2019s prohibited, it points towards employment<\/li>\n<\/ul>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<h3 class=\"wp-block-heading\" id=\"otherir35criteria\">Other IR35 criteria: checking your contract in full<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">There\u2019s more criteria to consider when working out IR35 status:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"wp-block-list-item\"><strong>equipment<\/strong> \u2013 HMRC often tries to argue that if equipment is provided by the client, and you don\u2019t use your own, you\u2019re a disguised employee<\/li>\n\n\n\n<li class=\"wp-block-list-item\"><strong>financial risk<\/strong> \u2013 self-employed contractors usually take a degree of financial risk, like any other business. Are you responsible for errors made during the contract, and would you need to rectify them in your own time? There\u2019s usually a requirement to have <a href=\"\/business-insurance\/professional-indemnity-insurance\/\">professional indemnity insurance<\/a><\/li>\n\n\n\n<li class=\"wp-block-list-item\"><strong>the way you\u2019re paid<\/strong> \u2013 self-employed people are paid on a project basis, which might mean when the work is completed or at particular project milestones<\/li>\n\n\n\n<li class=\"wp-block-list-item\"><strong>\u2018part and parcel\u2019 of the organisation<\/strong> \u2013 if contractors become so ingrained that they become part of a company\u2019s structure, with people reporting to them for example, this points to employment rather than self-employment<\/li>\n\n\n\n<li class=\"wp-block-list-item\"><strong>exclusivity<\/strong> \u2013 do you work for other clients? Typically the self-employed can work for multiple clients at once<\/li>\n\n\n\n<li class=\"wp-block-list-item\"><strong>intentions of the parties<\/strong> \u2013 the contract should make sure the relationship between contractor and client is one of supplier and customer, but this should be genuine. If HMRC found the actual intended relationship is more like an employee and employer, it\u2019ll ignore the contract<\/li>\n\n\n\n<li class=\"wp-block-list-item\"><strong>business \u2018on your own account\u2019<\/strong> \u2013 essentially this determines whether you\u2019re actually running your business as a business. If you have things like a business website, a dedicated office space, and even employees, you could be seen as operating a business and not offering your services in the same way as an employee<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Make sure you clarify your relationship with the hirer before you start the contract by considering all of these principles.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">HMRC also has a <a href=\"https:\/\/www.gov.uk\/guidance\/check-employment-status-for-tax\" rel=\"noopener noreferrer\" target=\"_blank\">tool to check employment status for tax<\/a> called CEST that you can use to see whether IR35 applies to a contract, plus an <a href=\"https:\/\/www.gov.uk\/government\/organisations\/hm-revenue-customs\/contact\/ir35-enquiries\" rel=\"noopener noreferrer\" target=\"_blank\">IR35 helpline<\/a>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But in reality, IR35 status hinges on IR35 case law and employment legislation, itself reliant on decades worth of employment tests heard in UK courts.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Another problem is that <a href=\"https:\/\/www.simplybusiness.co.uk\/knowledge\/business-tax\/what-is-ir35\/\" data-type=\"knowledge\" data-id=\"1579\">CEST may not be entirely accurate<\/a>, as it doesn\u2019t take a key piece of case law (<a href=\"https:\/\/www.simplybusiness.co.uk\/knowledge\/business-tax\/what-happens-if-im-inside-ir35\/#what-is-mutuality-of-obligation\">mutuality of obligation, or MOO<\/a>) into account.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Again, if you\u2019re uncertain about the IR35 status of a contract you\u2019re working on you should consult a professional.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Can legal expenses insurance cover an IR35 investigation?<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Tax legal protection covers costs and expenses for employer compliance disputes, including anything concerning IR35 legislation and regulations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If you have <a href=\"https:\/\/www.simplybusiness.co.uk\/business-insurance\/business-legal-protection-insurance\/\">legal expenses insurance<\/a> as part of your Simply Business policy, you have access to a number of useful services through <a href=\"https:\/\/www.aragbusinesslaw.co.uk\/\" rel=\"noopener noreferrer\" target=\"_blank\">Arag Businesslaw<\/a> (you\u2019ll just need your voucher code found in your policy documents to register).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Arag has a legal advice helpline, available whether you\u2019re facing a serious legal issue or just want to check something with an adviser. It can protect you if you make a mistake in your work that causes a financial or professional loss for your client<\/li>\n\n\n\n<li class=\"wp-block-list-item\"><a href=\"https:\/\/www.simplybusiness.co.uk\/business-insurance\/public-liability-insurance\/\"><strong>public liability insurance<\/strong><\/a> \u2013 this can protect you if a member of the public is injured or suffers a loss because of your business and makes a claim<\/li>\n\n\n\n<li class=\"wp-block-list-item\"><a href=\"https:\/\/www.simplybusiness.co.uk\/business-insurance\/business-contents-insurance\/\"><strong>business contents insurance<\/strong><\/a> \u2013 this can cover the equipment your business relies on every day, like PCs and laptops<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Do you find the IR35 rules too complex?
